This End User License Agreement ("Agreement") governs use of ROOTS, the internal accounting and operations system of 0924 Investments LLC ("Company"), in its connection to QuickBooks Online (the "Application"). The Application is a proprietary internal software application owned and operated by the Company for LeafSpring Schools. This page is hosted on Canopy, LeafSpring's operations platform at canopy.leafspringky.com. Canopy and ROOTS are both operated by 0924 Investments LLC for internal use only.
The Application is a private application developed by the Company solely for its own internal business operations and those of its affiliated entities. It is not offered, licensed, sold, or made available to the public or to any third party. It has no public users. The only authorized users of the Application are employees and authorized personnel of the Company and its affiliates.
The Company grants its authorized personnel a limited, revocable, non-transferable right to use the Application in the course of their duties. No other license or right is granted to any person or entity. All right, title, and interest in the Application remain with the Company.
The Application connects to the Company's own QuickBooks Online account through Intuit's authorized API, using OAuth 2.0. It requests the Intuit scope com.intuit.quickbooks.accounting, which allows reading and writing. The Application reads the Company's own accounting records for internal reporting. It creates journal entries in QuickBooks only after internal approval: an accountant reviews each entry and a person then releases it. The Application does not delete QuickBooks data. No generative AI processes QuickBooks data in the Application. The Application also uses payroll data from Gusto and tuition billing data from Playground. It does not access, store, or process QuickBooks data belonging to any party other than the Company and its affiliates.
Authorized personnel may not copy, distribute, sublicense, or provide third-party access to the Application or to data retrieved through it, except as required in the ordinary course of the Company's business and in accordance with Company policy.
The Application is provided "as is" for internal use. Because the Application is used only by the Company itself, no warranty is extended to, and no liability is accepted with respect to, any third party.
The Company may modify, suspend, or discontinue the Application at any time. Authorization to use the Application ends automatically when a user's affiliation with the Company ends. A Company administrator may disconnect the Application from QuickBooks Online at any time at roots.leafspringky.com/qbo/disconnect. Disconnecting deletes the stored OAuth tokens.
This Agreement is governed by the laws of the Commonwealth of Kentucky.
